David H. Atkins, Chairman
Mr. Atkins has held the position of Senior Adviser to Lang Michener LLP, Barristers & Solicitors, since January 1999. Prior to joining Lang Michener LLP he was a senior partner with Coopers & Lybrand. He is presently Chairman of Swiss Reinsurance Holdings Canada Inc. and its Canadian subsidiaries, as well as Chairman of the Audit Committee of Swiss Re America Holding Corporation and its subsidiaries. He currently serves as Director and Chairman of the Audit Committees of Kingsway Financial Inc. and Pareto Corporation, both public companies listed on TSX, as well as Pethealth Inc., a public company listed on TSX Venture.
J.R. Kingsley Ward, Director
Mr. Ward is the President of VRG Capital, a division of The Vimy Ridge Group Ltd., as well as the President and Director of Canhart Investments Inc. both investment holding companies. Chairman of Adrem Inc., a pharmaceutical manufacturing company; a Director of AR Systems International, a data base registration system for the international tradeshow sector. Director of Thomas International USA Inc., an international human resources management software company. Director of Quantitative Asset Management Group Inc., a hedge fund. Founding shareholder and Director of Pareto Corporation, a public marketing services company listed on TSX Venture, Clarus Securities Inc., an IDA Member, and Greenfield Commercial Credit, a public company listed on TSX Venture.
Sven F. Grail, Director
Mr. Grail is the Chief Executive Officer and Co-Founder of Altima DentalCanada Inc., a private dental group. Director and co-founder of Cydromedix Inc., a private Canadian healthcare company; Council Member of the Royal College of Dental Surgeons of Ontario; a past governor of the Ontario Dental Association and a past chairman of the Dental Practice Advisory Committee of the Ontario Dental Association.
David Banks, Director
Mr. Banks is Vice Chairman of Lawrence & Company Inc., a Toronto-based investment firm. During his 38-year career in the financial and business industries, Mr. Banks was Senior Vice President of the Chase Manhattan Bank, Founder -President of Carlyle Banks & Company Inc., President Financial Services Group of Continental Grain Company, Finance Director of General Atlantic Group Limited, Chief Executive Officer of AT&T Capital Corporation and Executive Chairman at Newcourt Credit Group. Mr. Banks is currently Chairman of the National Ballet of Canada. Mr. Banks received an AB and an honorary LLD from Kenyon College in the United States. He received a Juris Doctor from the University of Florida in 1969.
George Christodoulou, Director
Mr. Christodoulou is Co-Founder and Senior Partner of Altima Dental Canada Inc., one of the largest private dental groups in Canada. President and CEO of International Health Partners, an Alberta based medical and dental group; member of the Royal College of Dental Surgeons of Ontario; member of the Alberta Dental Association and College; and Co-Founder Altima St. Apollonia Foundation . Dr. Christodoulou received his Doctor of Dental Surgery from the University of Toronto and has completed all course requirements for his Masters of Business Administration degree from the same institution and is expected to convocate in June 2007.
Charles Frumberg, Director
Mr. Frumberg is the founder and Managing Partner of Emancipation Capital, an event-driven hedge fund focused on publicly-traded enterprise software companies. Before founding Emancipation Capital, Mr. Frumberg served as the Co-Head of Equities for SG Cowen Securities Corp., a leading investment bank specializing in technology and healthcare. Prior to joining SG Cowen, Mr. Frumberg was the Director of U.S. equity research and Co-head of global research at UBS Securities. In 1997, under Mr. Frumberg's leadership, Institutional Investor magazine selected UBS as the number-four Global Research Firm. Mr. Frumberg is also the non-executive chairman and a principal advisor of NSIGHT Enterprise Software LL.C, sits of the board of Trilogy Software and FirstRain.
Sam Chebib, President, CEO and Director
Mr. Chebib has been the President and Chief Executive Officer of Nightingale since April 2002. Prior to founding Nightingale, Mr. Chebib was the President and Chief Operating Officer, from April 2000 to September 2001, of MedcomSoft Inc., a public healthcare information company listed on TSX specializing in physician practice management systems for the Canadian, United States and Australian markets. Mr. Chebib held a number of positions between 1988 and April 2000 with Toromont Industries Ltd., a public company listed on TSX specializing in construction equipment, energy and industrial equipment.
His last position with Toromont Industries Ltd. was as Vice-President & General Manager of Energy Toromont, a division of Toromont Industries Ltd. from January 1996 to April 2000. In 1996, he instrumented the acquisition of the medical and dental assets of Medifirst, a private healthcare delivery company, as part of a family business. Mr. Chebib has a Bachelor of Science Degree from Lawrence University in Southfield, Michigan. Mr. Chebib also became a professional engineer in Ontario in 1992.
